Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 28, 2022, Andrew Offer tendered his resignation as a Class I director of the Board of Directors (the “Board”) of Sight Sciences, Inc. (the “Company”), and stepped down from the Board and its Audit Committee, effective on March 4, 2022 (the “Effective Date”). Mr. Offer’s resignation from the Board is not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Board has undertaken a process to identify and appoint a qualified successor director, and anticipates that it will complete this process promptly.
